Terms of Service

Introduction

These Terms of Service ("Terms") govern your access to and use of Cratoflow's website, platform, and services (collectively, the "Services") provided by Cratoflow, Inc. ("Cratoflow," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use our Services.

Definitions

• "Account" means the account you create to access and use the Services
• "Customer" means the entity or individual that has entered into a subscription agreement with Cratoflow
• "Customer Data" means all data, content, and information submitted by Customer to the Services
• "Documentation" means the user guides, help files, and other documentation provided by Cratoflow
• "Subscription Term" means the period during which Customer has access to the Services as specified in the applicable Order
• "User" means any individual authorized by Customer to access and use the Services

Account Registration

To access certain features of the Services, you must create an Account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your Account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized access to your Account
• Accept responsibility for all activities that occur under your Account

We reserve the right to suspend or terminate Accounts that violate these Terms or that we reasonably believe pose a security risk.

Use of Services

License Grant

Subject to these Terms and payment of applicable fees, Cratoflow grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the Subscription Term solely for your internal business purposes.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Transmit viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble any part of the Services
• Copy, modify, or create derivative works of the Services
• Rent, lease, lend, sell, or sublicense access to the Services
• Use the Services to develop a competing product or service
• Remove or alter any proprietary notices or labels on the Services

Usage Limits

Your use of the Services may be subject to certain limits as specified in your subscription agreement, including limits on the number of Users, transactions, or data storage. Exceeding these limits may result in additional fees or temporary service restrictions.

Customer Data

Ownership

You retain all rights, title, and interest in your Customer Data. Cratoflow does not claim ownership of any Customer Data you submit to the Services.

License to Customer Data

By submitting Customer Data to the Services, you grant Cratoflow a worldwide, non-exclusive license to use, process, and store Customer Data solely to provide and improve the Services. This license terminates when you delete your Customer Data or your Account is terminated.

Data Responsibilities

You are solely responsible for the accuracy, quality, and legality of Customer Data and the means by which you acquired it. You represent that you have all necessary rights and consents to submit Customer Data to the Services.

Intellectual Property

Cratoflow Property

The Services, including all software, algorithms, user interfaces, designs, text, graphics, logos, and other content (excluding Customer Data), are owned by Cratoflow or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Services except for the limited license expressly granted herein.

Feedback

If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant Cratoflow a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Services without any obligation to you.

Fees and Payment

Subscription Fees

Access to the Services requires payment of subscription fees as set forth in the applicable Order or pricing page. All fees are quoted in U.S. dollars unless otherwise specified.

Payment Terms

Fees are due in advance and are non-refundable except as expressly stated in these Terms. We may suspend access to the Services for any Account with overdue payments.

Taxes

All fees are exclusive of taxes. You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities, excluding taxes based on Cratoflow's net income.

Price Changes

Cratoflow may modify fees upon 30 days' prior written notice. Fee changes will apply at the start of your next Subscription Term.

Confidentiality

Each party agrees to protect the other party's Confidential Information using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

"Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

Confidential Information does not include information that: (a) is or becomes publicly available without breach of these Terms; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is rightfully obtained from a third party.

Warranties and Disclaimers

Limited Warranty

Cratoflow warrants that the Services will perform materially in accordance with the Documentation during the Subscription Term. If the Services fail to meet this warranty, Cratoflow will use commercially reasonable efforts to correct the non-conformity.

Disclaimer

Cratoflow does not warrant that the Services will be uninterrupted, error-free, or completely secure. You acknowledge that no system is entirely free from vulnerabilities.

Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Cratoflow and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services in violation of these Terms
• Your Customer Data or your use of Customer Data
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights

Term and Termination

Term

These Terms are effective until terminated. The Subscription Term is specified in your Order and will automatically renew for successive periods unless either party provides written notice of non-renewal at least 30 days before the end of the current term.

Termination for Cause

Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of receiving notice.

Effect of Termination

Upon termination: (a) your right to access and use the Services immediately ceases; (b) you must pay any outstanding fees; (c) upon request, each party will return or destroy the other party's Confidential Information. Sections that by their nature should survive termination will survive, including Intellectual Property, Confidentiality, Limitation of Liability, and Indemnification.

General Provisions

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

Entire Agreement

These Terms, together with any Order and the Privacy Policy, constitute the entire agreement between you and Cratoflow regarding the Services and supersede all prior agreements and understandings.

Amendments

Cratoflow may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or by other means. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

The failure of Cratoflow to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms without Cratoflow's prior written consent. Cratoflow may assign these Terms without restriction.
